Invoicing through an incubator

I work through bizup.ink, a business incubator in Poland. It issues the invoices for my projects and receives the payments. Its register and tax numbers are printed on every invoice.

Dispute resolution

I am not obliged to take part in dispute resolution before a consumer arbitration board, and I am not willing to do so.

The European Commission's online dispute resolution platform was discontinued on 20 July 2025. There is no ODR link to offer.

Terms of work

These terms apply to every project I take on: websites, shops, AI tools and software. The written offer for your project comes first. Where it says something different, the offer applies.

How a contract is made

After a call, you get a written offer with the scope, one fixed price and a launch date. The contract is made when you accept the offer in writing, by email is enough, and I confirm it. The contract is between you and me. Invoices come from bizup.ink, and payments go to its account.

Price and payment

  • Half of the fixed price is invoiced when you accept the offer. Work starts once it is paid.
  • The other half is invoiced at launch.
  • Invoices are due within 14 days. Late payments carry statutory interest under Polish law.
  • Work outside the agreed scope is quoted before I do it. Nothing is added to the bill without your yes.
  • Hosting, domains, payment fees, AI usage and other outside services are billed to you directly by their providers, on your own accounts.

If you cancel

You can cancel at any time by email. Work starts on the start date in the offer, or earlier if you ask me to begin sooner.

  • Before work starts. You get the first half back in full, within 14 days.
  • After work starts. I keep the first half. It pays for the time reserved for your project and the work done so far. The second half is not due. You get everything made up to that point, with the rights to it.
  • If you go quiet. If I get no answer or material from you for 60 days, after two reminders, the project counts as cancelled after work started.

If I can't finish

If I cancel, or can't deliver what we agreed for a reason on my side, you get back the part of what you paid that covers the unfinished work, and you keep everything done so far with the rights to it.

Consumers: 14 days to withdraw

If you hire me as a consumer, or as a sole trader for a project outside your professional trade, you can withdraw within 14 days of the contract being made, without giving a reason. An email is enough. I refund what you paid within 14 days of hearing from you.

If you ask me in writing to start within those 14 days and then withdraw, you pay for the work done up to then, in proportion to the full price. In that period you never pay more than the work done is worth, so the rule about keeping the first half does not apply.

Copyright and ownership

Everything I make for your project is yours to use: the design, the code, the texts I write and the files behind them.

  • Once the whole price is paid, you may use the work in every way: copy and store it in any form and on any medium, put it online, change, adapt and translate it, combine it with other work, and let others do any of that. There is no limit in time or territory, and I won't license the same work to anyone else. If you cancel after work starts, this covers the work done, which the first half pays for.
  • You can change the work and have others change it. I won't use my moral rights as author to stop you, and you don't have to name me.
  • If you want the copyright itself transferred to you, for example to register it or to sell your business, we sign a short transfer document covering the same uses. Polish law only allows that transfer on paper or with a qualified electronic signature. Ask any time after the final payment, at no cost.
  • Open-source software, fonts, stock photos and other parts made by others stay under their own licences. I only use ones that allow commercial use, and I tell you which they are.
  • Once the project is public, I may show it in my portfolio. Tell me if you would rather I didn't.

Code, hosting and domain are set up on your own accounts from the start. You keep that access whatever happens to our contract.

Launch and fixes

Before launch you check the work and tell me what is wrong. Anything that doesn't do what the offer says is fixed before launch at no extra cost. If you find such a fault after launch, tell me within 30 days and I fix it for free. Consumers also keep their statutory rights.

Liability

I am liable without limit for damage I cause on purpose or through gross negligence, and for harm to life or health. For other damage, my liability is limited to the price of the project, and I am not liable for lost profits. I am not liable for outages or changes at the hosting, payment, AI or other providers you hold accounts with. None of this limits a consumer's statutory rights.

Care

Care is optional and agreed separately. Its price and notice period are set out in its own offer.

Law and courts

Polish law applies. If you are a consumer, you also keep the protection of the law of the country where you live. Disputes between businesses go to the courts in Warsaw. Consumers can also go to the courts where they live.
